These Terms of Use (“Terms”) are a legally binding agreement between you (“User,” “you,” or “your”) and Simmitri Inc. (“Simmitri,” “we,” “us,” or “our”). By accessing simmitri.com or any related microsite, mobile experience, AI chat, calculator, or portal (collectively, the “Site”), you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not use the Site.

1. Eligibility & Acceptance

You must be at least 18 years old (or the age of majority where you reside) and able to form a binding contract. Accessing or using the Site in any manner constitutes acceptance of these Terms.

2. Intellectual Property

All content on the Site—including text, graphics, photographs, videos, calculators, code, software, and branding—is owned or licensed by Simmitri and protected by U.S. and international IP laws. 6. Quotes, Estimates & Transactions

Solar, roofing, or energy-efficiency calculators generate estimates based on user-supplied data and industry averages; they are non-binding and subject to site inspection, utility approval, and financing qualification. All contracts for products or services will be governed by separate written agreements that supersede these Terms in the event of conflict.

7. User-Generated Content & Reviews

You may submit reviews, photos, or comments if they are accurate and lawful. California law (Cal. Civ. Code § 1670.8) prohibits us from restricting your ability to leave honest consumer reviews; we will not enforce any clause that attempts to waive or penalize such rights. (lw.com)

By posting content, you grant Simmitri a perpetual, worldwide, royalty-free license to use, display, and distribute that content in any media.

8. Digital Millennium Copyright Act (DMCA)

If you believe material on the Site infringes your copyright, send a written notice to our designated DMCA agent at [email protected] with the information required by 17 U.S.C. § 512(c)(3). We will respond and, where appropriate, remove or disable access to the allegedly infringing content.

9. Disclaimer of Warranties

11. Indemnification

You agree to defend, indemnify, and hold harmless Simmitri from any claims, damages, liabilities, and expenses (including reasonable attorneys’ fees) arising out of your violation of these Terms or misuse of the Site.

12. Governing Law & Dispute Resolution

These Terms are governed by the laws of the State of California, without regard to conflict-of-law principles. Any dispute arising under these Terms shall be resolved through binding arbitration in Santa Clara County, California, administered by the American Arbitration Association under its Consumer Arbitration Rules. Either party may bring qualifying claims in small-claims court. Class-action waivers apply to the extent permitted by law.

13. Modifications

We may revise these Terms at any time by posting the updated version here and updating the “Last updated” date. Material changes will be highlighted for at least 30 days. Continued use after changes constitutes acceptance.

14. Termination

We may suspend or terminate your access to the Site at any time for any reason without notice. Clauses that by their nature should survive termination—including Intellectual Property, Disclaimers, Limitation of Liability, Indemnification, and Governing Law—shall survive.
